minor-bidi">Şirketimiz Yönetim Kurulu şirket merkezinde toplanarak aşağıdaki kararı almıştır.</span></p><p class="MsoNormal"><span style="fontfamily: 'Times New Roman', serif; lineheight: 1.42857;">Şirketimizin 1.078.290.009,00 TL olan çıkarılmış sermayesinin, Esas Sözleşmemizin "Sermaye ve Paylar" başlıklı 6.maddesi uyarınca 4.000.000.000,00 TL'lik kayıtlı sermaye tavanı içerisinde kalmak kaydıyla VUK Kayıtları ve TMS/TFRS uyarınca hazırlanan enflasyona göre düzeltilmiş 2025 yılı mali tablolarda; "Net Dağıtılabilir Dönem Karı" hesabından karşılanmak üzere 571.709.991,00 TL arttırılarak toplam 1.650.000.000 TL'ye çıkarılmasına,</span></p><p class="MsoNormal"><span style="fontfamily: 'Times New Roman', serif; lineheight: 1.42857;">Şirketimizin çıkarılmış sermayesinin %53,02 oranında bedelsiz olarak artırılması kapsamında ihraç edilecek 571.709.991,00 adet nominal değerli payların 121.271.816,27 TL nominal değerli kısmının A gruba nama, 450.438.174,73 TL nominal değerli kısmının B grubu hamiline pay olarak çıkarılmasına,</span></p><p class="MsoNormal"><span style="fontfamily: 'Times New Roman', serif; lineheight: 1.42857;">Söz konusu sermaye artırımı nedeniyle çıkarılacak payların mevcut pay sahiplerine payları oranında bedelsiz olarak kayden dağıtılmasına,</span></p><p class="MsoNormal"><span style="fontfamily: 'Times New Roman', serif; lineheight: 1.42857;">İhraç belgesinin onaylanması ve Şirketimiz esas sözleşmesinin "Sermaye ve Paylar" başlıklı 6.maddesinin ekte yer alan tadiline ilişkin uygun görüş alınması amacıyla başta Sermaye Piyasası Kurulu, Borsa İstanbul A.Ş., Merkezi Kayıt Kuruluşu A.Ş. olmak üzere, ilgili tüm merciler nezdinde gerekli başvuru ve işlemlerin gerçekleştirilmesi hususlarında Şirketimiz imza yetkililerinin münferiden yetkilendirilmesine,</span></p><p class="MsoNormal"><span style="fontfamily: 'Times New Roman', serif; lineheight: 1.42857;">İşbu kararın ve Sermaye Piyasası Kuruluna Sermaye Artırımına yönelik başvuru yapıldığında başvurunun da ayrıca Kamuyu Aydınlatma Platformunda duyurulmasına oybirliği ile karar verilmiştir.</span></p><p class="MsoNormal"><span style="fontfamily: 'Times New Roman', serif; lineheight: 1.42857;">01.07.2026 tarihli kâr dağıtım önerisine ilişkin Yönetim Kurulu kararı doğrultusunda, 28.07.2026 tarihli 2025 Yılı Olağan Genel Kurul Toplantısı'nın 7. gündem maddesi kapsamında; sermaye artırımı ve esas sözleşme değişikliğine ilişkin uygun görüşün alınması amacıyla 25.08.2026 tarihinde Sermaye Piyasası Kurulu'na başvuru yapılmıştır.</span></p><p class="MsoNormal"><span style="fontfamily: 'Times New Roman', serif; lineheight: 1.42857;">Kamuoyuna saygıyla duyurulur.</span></p><p class="MsoNormal"><i style="lineheight: 1.42857;"><span
