1- Şirket Esas Sözleşmesi'nin "Sermaye" başlıklı 6. maddesi uyarınca; Şirketimizin 100.500.000 TL olan çıkarılmış sermayesinin, 502.500.000 TL kayıtlı sermaye tavanı içerisinde kalacak şekilde, tamamı iç kaynaklardan karşılanmak suretiyle %200 oranında (201.000.000 TL) bedelsiz artırılarak 301.500.000 TL'ye çıkarılmasına,

2- Artırılan 201.000.000 TL'lik sermayenin 132.613.287,17 TL'lik kısmının sermaye düzeltmesi olumlu farkları hesabından, 68.386.712,83 TL'lik kısmının ise olağanüstü yedekler hesabından olmak üzere iç kaynaklardan karşılanmasına,

3- Şirket sermayesinin %200 oranında bedelsiz olarak artırılması kapsamında ihraç edilecek 201.000.000 TL nominal değerli 201.000.000 adet payın, pay sahiplerine Şirket sermayesindeki payları oranında bedelsiz olarak, Sermaye Piyasası Mevzuatı'nın kaydi sisteme ilişkin düzenlemeleri çerçevesinde usulüne uygun şekilde dağıtılmasına,

4- İç kaynakların sermaye hesabına aktarılması ve bu işlemin mali müşavir raporu ile tevsik edilmesi için gerekli işlemlerin yapılmasına,

5- Şirket Esas Sözleşmesi'nin "Sermaye" başlıklı 6'ncı maddesinin yalnızca çıkarılmış sermayeye ilişkin kısmının mevzuata uygun olarak ekteki şekilde tadil edilmesine,

6- İç kaynaklardan gerçekleştirilecek bedelsiz sermaye artırımına ilişkin ihraç belgesi ile Esas Sözleşme'nin "Sermaye" başlıklı 6'ncı maddesinin tadil tasarısının onaylanması amacıyla Sermaye Piyasası Kurulu başta olmak üzere ilgili kurumlar nezdinde gerekli başvuru ve işlemlerin yapılmasına,
