1) 6362 sayılı Sermaye Piyasası Kanunu, Sermaye Piyasası Kurulu'nun ("SPK") II-23.2 sayılı Birleşme ve Bölünme Tebliği ("Birleşme Tebliği"), 6102 sayılı Türk Ticaret Kanunu'nun ("TTK") 136, 155/1-a, 156 ve diğer ilgili maddeleri ve 5520 sayılı Kurumlar Vergisi Kanunu'nun 19. ve 20. Maddeleri ile ilgili diğer mevzuat hükümleri dahilinde; Şirketimizin tek pay sahibi olarak sermayesini oluşturan payların tamamına (%100) sahip olduğu doğrudan bağlı ortaklığı İstanbul Ticaret Sicil Müdürlüğü'nde 182182-0 ticaret sicil numarası ile kayıtlı Eczacıbaşı Gayrimenkul Geliştirme ve Yatırım Anonim Şirketi'nin ("Eczacıbaşı Gayrimenkul"), tüm aktif ve pasifinin bir bütün halinde kayıtlı değerleri üzerinden Şirketimiz tarafından devir alınması suretiyle, Birleşme Tebliği'nin 13 ve TTK 155/1-a maddelerinde tanımlandığı şekilde kolaylaştırılmış usulde Şirketimiz bünyesinde birleşmesine ("Birleşme İşlemi");

2) Birleşme İşleminde taraf şirketlerin 30.06.2026 tarihli finansal tablolarının esas alınmasına,

3) Birleşme Tebliği'nin "Kolaylaştırılmış Usulde Birleşme" başlıklı 13(2). maddesi uyarınca "Bağımsız Denetim Raporu", "Birleşme Raporu" ve "Uzman Kuruluş Görüşü"nün hazırlanmasına gerek olmadığına, ayrıca Birleşme İşlemi çerçevesinde Şirketimiz nezdinde herhangi bir sermaye artırımı gerçekleştirilmemesine, Birleşme İşlemi Sermaye Piyasası Kanunu'nun II-23.3. sayılı Önemli Nitelikteki İşlemler ve Ayrılma Hakkı Tebliği kapsamında önemli nitelikte işlem olarak değerlendirilmediğinden 15/ç maddesi uyarınca pay sahiplerimiz açısından "Ayrılma Hakkı"nın doğmayacağının kabulüne,

4) Bu kapsamda Eczacıbaşı Gayrimenkul ile birleşme sözleşmesi imzalanmasına, ilgili mevzuat hükümleri uyarınca Birleşme İşlemi'nin genel kurulun onayına sunulmasına gerek bulunmadığına, Birleşme İşlemi'ne ilişkin gerekli diğer belgelerin hazırlanmasına ve/veya temin edilmesine ve onay için Sermaye Piyasası Kurulu'na başvurulmasına,

5) Birleşme İşlemi kapsamında, birleşme sözleşmesi ve birleşmeye ilişkin duyuru metni de dahil olmak üzere ve ancak bunlarla sınırlı olmaksızın Şirketimiz tarafından tanzim ve imza edilerek tüm ilgili resmi kurum ve kuruluşlara verilecek olan belgelerin, dilekçelerin tanzimi ve imzalanması hususunda Şirketimizin belirlediği kişilerin temsile yetkili kılınmasına,

karar verilmiştir.

Bu kapsamda, Şirketimizin %100 bağlı ortaklığı olan Eczacıbaşı Gayrimenkul Geliştirme ve Yatırım A.Ş. ile devralma suretiyle kolaylaştırılmış usulde birleşmesine ilişkin ekte yer alan duyuru metnine onay verilmesi için 24.09.2026 tarihi (bugün) itibarıyla Sermaye Piyasası Kurulu'na başvuruda bulunulmuştur.
